B.0 Document identity

This document is the Terms of Service of Jiason Technology Co., Limited, a company incorporated in the Hong Kong Special Administrative Region with its registered office at Rm 5B 12/F TUNG LEE INDL BLDG 9 LAI YIP ST, Kwun Tong, Hong Kong.

These Terms apply to your use of our public website at https://jiasontech.com and the Jiason mobile applications published under our developer account on the Apple App Store and Google Play (each, a "Service", collectively, the "Services").

Throughout this document, "we", "us", "our" and "Jiason" refer to Jiason Technology Co., Limited. "You" and "your" refer to any natural or legal person using the Services.

B.1 Acceptance of these terms

By accessing the website, creating an account, installing the application, or otherwise using any of the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, do not use the Services. If you have already created an account, you may close it at any time by following the instructions in §B.4.

B.2 Eligibility

B.2.1 Minimum age

You must be at least the age of digital consent in your jurisdiction to use the Services. As a baseline this means:

• 16 in the European Union (subject to member-state variations);
• 13 in the United States (COPPA);
• 13 in the United Kingdom (Age-Appropriate Design Code);
• 18 in jurisdictions where that is the age of majority for digital consent.

If you are below the applicable age you must have verifiable consent from a parent or guardian before using the Services.

B.2.2 Capacity

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the legal authority to bind that entity. Where you act on behalf of an entity, "you" refers to that entity.

B.2.3 Region restrictions

The Services may not be available in every territory. Some features — including some ad-supported tiers — may vary by region to comply with local law. Where a feature is not available in your territory we will display a notice in the app.

B.3 Service description

B.3.1 What we provide

We provide an informational website at jiasontech.com and a family of Jiason mobile applications. The applications are designed to manage Jiason and compatible third-party smart-home devices, run scenes and automations, monitor energy use, raise support tickets, and (for B2B accounts) view shipment and inventory status. The applications may display advertising through the SDKs listed in §B.8.

B.3.2 Free vs paid tiers

The Services are currently provided free of charge. We may introduce optional paid features in future. If we do, we will tell you in advance, you will not be charged without your explicit consent, and the store billing rules in §B.9 will apply.

B.3.3 Availability

We use reasonable efforts to keep the Services available, but we do not guarantee uninterrupted operation. The Services may be unavailable from time to time for maintenance, updates, force majeure, or circumstances beyond our reasonable control.

B.4 Account registration

B.4.1 Account creation

Some features require a Jiason account. You can create one with an email address or by signing in with a supported federated identity provider (for example, "Sign in with Apple" or "Sign in with Google").

B.4.2 Account information accuracy

You agree to provide accurate, current, and complete information when creating your account and to keep it updated. We may take reasonable steps to verify the information you provide, but we cannot guarantee the identity of any user.

B.4.3 Account security

You are responsible for safeguarding your password, your device, and any second-factor credentials associated with the account. Notify us immediately at support@jiasontech.com if you become aware of any unauthorised access to your account.

B.4.4 Closing the account

You may close your account at any time by sending a request to support@jiasontech.com from the email address on file. We will action the request within thirty (30) days, except where retention is required by law or to resolve outstanding disputes.

B.5 License grants

B.5.1 Limited, personal, non-exclusive, non-transferable, revocable license

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the website and the mobile applications for your personal or internal business purposes.

B.5.2 Restrictions

Unless we have given you prior written permission, you may not:

• resell, sublicense, or commercially redistribute the Services;
• reverse engineer, decompile, or disassemble the mobile applications, except to the extent that applicable law expressly permits it;
• scrape, crawl, or otherwise use automated means to access the Services for any purpose without our written consent;
• modify, adapt, translate, or create derivative works of the Services;
• remove or alter any proprietary notices or labels;
• use the Services to develop a competing product.

B.6 Acceptable use

B.6.1 Prohibited conduct

When using the Services you agree not to:

• engage in any activity that violates applicable law;
• infringe the rights of any third party (including intellectual-property, privacy, and publicity rights);
• harass, threaten, defame, or otherwise harm any other user;
• engage in fraud, misrepresentation, or identity theft;
• attempt to gain unauthorised access to any part of the Services, other users' accounts, or our infrastructure;
• interfere with or disrupt the integrity or performance of the Services;
• attempt to bypass advertising frequency caps, ad-free features, or any other paywall where bypassing is prohibited;
• scrape or harvest data from the Services at scale without prior written permission.

B.6.2 No commercial resale of advertising inventory

You may not resell, broker, or otherwise commercially exploit advertising inventory served through the mobile applications. The advertising inventory is solely for delivery by the SDKs listed in §B.8 to the end-users of our mobile applications.

B.7 Intellectual property

B.7.1 Our IP

All rights, title, and interest in and to the Services — including the Jiason name, logo, trademarks, application code, designs, copy, audio, video, and any other content we publish — are owned by Jiason Technology Co., Limited or by our licensors. Nothing in these Terms transfers any ownership to you.

B.7.2 User content

Where you upload or submit content to the Services (for example, room names, automation rules, profile photos, or support attachments), you retain ownership of that content. You grant us a worldwide, royalty-free, non-exclusive, transferable (within our corporate group), and sub-licensable license to host, store, reproduce, display, and use that content as necessary to operate the Services for you.

B.7.3 Feedback

If you send us unsolicited feedback or suggestions, we may use that feedback without restriction or compensation to you. You waive any "moral" rights you may have in that feedback to the extent permitted by law.

B.8 Third-party services and SDKs

The Services rely on third-party services and SDKs. The mobile applications integrate the advertising SDKs listed below. Each subsection names the SDK, its role in the app, and a link to that provider's own terms. Your use of each third-party service is subject to that provider's terms as well as these Terms.

B.8.1 Google AdMob

Role: display of open-screen, banner, interstitial, and rewarded-video ads; mediation layer.

Role: mediation platform that aggregates demand from multiple networks, including many of those listed above.

B.8.20 Other third-party services

The Services also integrate the following non-advertising third-party services: a cloud-hosting provider (subject to its standard terms), an email-delivery provider (subject to its standard terms), and an error-monitoring provider (subject to its standard terms). Specific vendor identities are available on request.

B.9 Subscriptions and in-app purchases

B.9.1 Store billing

If we offer paid features in future, billing will be handled by the Apple App Store or Google Play. We do not receive or store your payment-card details. Your relationship for the payment is with the store, not with us.

B.9.2 Auto-renewal

Where a paid feature is sold as an auto-renewing subscription, we will disclose the auto-renewal terms at the point of purchase, in compliance with Apple and Google requirements. Auto-renewal can be turned off in your store account settings at any time, and will take effect at the end of the current billing period.

B.9.3 Refunds

Refunds are handled by the store in accordance with the store's policies. We will assist in good faith where a refund request is reasonable and where the store requires our input. Contact us at support@jiasontech.com if you would like us to advocate on your behalf.

B.10 Disclaimers

B.10.1 "As is" basis

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

B.10.2 No guarantee of accuracy

Trade and product information on the website — including specifications, certification status, and pricing — is provided in good faith but may not always be current. The authoritative source for any commitment is a signed agreement between us and you, not anything published on the website.

B.11 Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Jiason, its affiliates, officers, directors, employees, contractors, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use of (or inability to use) the Services.

To the maximum extent permitted by applicable law, our aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid us for the Services in the twelve (12) months immediately preceding the event giving rise to the liability, or (b) one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for fraud, for death or personal injury caused by negligence, or for any other liability that applicable law deems non-excludable.

B.12 Indemnification

You agree to defend, indemnify, and hold harmless Jiason Technology Co., Limited and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

• your misuse of the Services;
• your violation of these Terms;
• your violation of any third-party right, including intellectual-property, privacy, or publicity rights;
• any claim that your use of the Services has caused damage to a third party.

B.13 Termination

B.13.1 By us

We may suspend or terminate your access to the Services if we reasonably believe you have breached these Terms, where required by law, or where continued provision of the Services would create an unreasonable risk. Where reasonable we will give you advance notice of suspension or termination.

B.13.2 By you

You may stop using the Services at any time and may close your account by following the instructions in §B.4.

B.13.3 Effect

On termination, the rights granted to you under §B.5 end. Provisions that by their nature should survive termination — including those on intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and the contact section — will survive. Data deletion after termination is handled as described in our Privacy Policy.

B.14 Governing law and dispute resolution

B.14.1 Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles.

B.14.2 Jurisdiction

The courts of the Hong Kong Special Administrative Region have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms, except where mandatory consumer law of your place of residence provides otherwise.

B.14.3 Consumer rights carve-out

Nothing in this section overrides a consumer's right to bring an action in their place of residence under mandatory law. In particular, consumers in the European Union, the United Kingdom, Switzerland, California, Brazil, Canada, Australia, Singapore, and Japan retain all rights conferred by the consumer-protection law of their place of residence, including (where applicable) the right to bring an action in their local courts and the right to invoke the collective-redress mechanisms provided by their national law.

B.15 Changes to these terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page and, where the change is material, notify you by:

• posting a banner on the public website;
• showing an in-app banner next time you open the app;
• sending an email to the address on file (for material changes only).

Material changes give you at least thirty (30) days' notice before they become effective, except where a shorter period is required by law. Continued use of the Services after the effective date constitutes acceptance of the updated Terms; if you do not accept the updated Terms you may stop using the Services and close your account.

B.16 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. The severed provision shall be replaced by a valid provision that most closely reflects the original intent.

B.17 Entire agreement

These Terms, together with the Privacy Policy and any specific agreement signed between you and Jiason Technology Co., Limited, constitute the entire agreement between you and us with respect to the Services. They supersede any prior or contemporaneous communications, proposals, or agreements, oral or written, on the same subject matter.
